1. Product Sourcing Process

These Terms of Use govern your access to and use of the BlackBid platform ('Platform') operated by Fapps Ltd ('Company', 'we'). They are subject to English law and apply to all users of the Platform.

All natural persons ("User") accessing or becoming a member of the Platform are deemed to have read, understood, and accepted these Terms. If you do not accept the Terms, you must not use the Platform.

3. Price Transparency

3.1. 3.1. The Platform is an e-commerce infrastructure where various products are offered for sale through an online auction method.

3.2. 3.2. Products published on the Platform have been purchased or procured from authorised sellers/distributors by BlackBid before the auction process begins. When the winning user purchases the relevant product through the Platform, a sales relationship is established between the User and the Seller Company.

3.3. 3.3. The services offered on the Platform generally include the following operations:

Membership and Participation

Creating membership and participating in auctions.

Process Management

Real-time management of auction processes.

Right to Purchase

Granting a special purchase period to winners.

Transaction Management

Payment, invoice, and delivery processes.

3.4. 3.4. The Platform reserves the right to update auction and sales conditions, introduce new features, or modify existing features in line with its operation and technical requirements.

4. User Rights and Protection Policies

4.1. 4.1. To become a member of the Platform, you must be 18 years of age or older and have legal capacity in accordance with applicable legislation.

4.2. 4.2. All information and documents you declare during membership must be accurate, current, and complete. The User is responsible for any liability arising from providing false or misleading information.

4.3. 4.3. The Company reserves the right to refuse, suspend, or terminate membership, including in the following cases:

Detection of usage contrary to the Terms

Suspicion of fraud or misuse

Failure to fulfil payment obligations

Behaviours that may harm the Platform's operation

4.4. 4.4. The User is responsible for all transactions made through their account. You must not share your account information and password with third parties, and you must immediately inform the Company in case of unauthorised use.

5. Platform Security and Fair Usage Standards

5.1. 5.1. For each product on the Platform, a start time, end time, and starting price are specified. Users can place bids manually within the specified rules during the auction period.

5.2. 5.2. At the end of the auction period, the User who places the highest bid is determined as the winning User with the right to purchase the relevant product. Winning an auction does not, by itself, mean the sale is complete.

5.3. 5.3. The winning User is granted the opportunity to purchase the product at their highest bid price by adding it to the cart within the period specified on the Platform. During this period:

If the User adds the product to their cart and completes the payment steps, the sale is deemed to have occurred.
If the User does not complete the purchase within the given period, the right to purchase the product may be granted to the second and third highest bidders, respectively, or the auction may be repeated, or the product may be removed from sale.

5.4. Technical Fault and Cancellation: The Company reserves the right to unilaterally cancel, suspend, or postpone the auction process in exceptional circumstances (system errors, software faults, server/infrastructure problems, data inconsistencies, legal obligations, stock/supply issues, force majeure, etc.). An auction may be deemed invalid and cancelled by the Company in the following cases:

The auction closing prematurely due to a software error before its planned end time,
A technical fault occurring in the bidding system, algorithm, or price formation process,
The product's market/estimated value resulting in a price clearly contrary to the ordinary course of life (material error/obvious mistake),
Detection of duplicate registrations, duplicate payments, or systemic conflicts related to the same product or auction,
The Company finding any evidence suggesting security, misuse, or manipulation.

5.5. Refund and Redressal of Grievances: In the event an auction is cancelled due to a technical fault or obvious mistake, the Company:

Fully refunds all payments collected from the User within the scope of the relevant transaction, via the payment provider (Stripe, etc.) within a reasonable period. The reflection of the refund on the user's card may take 3 to 10 business days, depending on the bank's workflow.
Coupon or discount rights used during the transaction are made reusable and restored to the user's account.
The User is informed about the cancellation reason, actions taken, and refund process via email or account notification.

5.6. Scope of Liability: In cases of cancellation due to technical fault or obvious mistake, the User cannot claim any compensation, loss of profit, moral damages, or additional benefit from the Company, other than the refunded payment and restored coupon rights. The Company's liability under this article is limited solely to the refund of the collected amount and the restoration of used rights.

5.7. 5.7. The times displayed on auction screens operate according to the system infrastructure. The Company is not responsible for delays caused by differences in the User's device time or internet connection.

6. Data Privacy and Data Protection Compliance Reporting

6.1. 6.1. The product's selling price is the highest valid bid placed by the winning User at the end of the auction.
6.2. 6.2. On the payment page, the User views and approves all costs in detail, including Product price, Taxes (VAT, etc.), and any shipping and additional fees.
6.3. 6.3. Payment is made via credit/debit card and similar online payment methods, through the payment institutions contracted by the Company. Your card information is not recorded by the Company but is securely processed within the payment service provider (PSP) infrastructure.
6.4. 6.4. Upon completion of the sale, an e-invoice or e-archive invoice is issued in accordance with the legislation and sent to the User.
6.5. Automatic Subscription Renewal: All service plans (Elite, Elite Plus, Business) offered on the Platform operate on a subscription model. The purchased subscription automatically renews at the end of each period, according to the selected payment frequency (monthly or yearly), unless cancelled by the User. The renewal process is carried out on the period end date, using the payment method registered at the start of the subscription.
6.6. Cancellation and Renewal Control: The User can cancel their subscription at any time with a single click from the account panel. When the cancellation is performed, services remain active until the end of the current period; automatic renewal will not occur in the subsequent period, and no fee will be charged. To stop subscription renewal, the cancellation process must be completed before the period end date.
6.7. Payment Security: All payment transactions are carried out through the Stripe payment infrastructure, which complies with international PCI-DSS security standards. Your credit card and payment information are not stored on Company servers; all sensitive data is encrypted, processed, and maintained in a secure environment by Stripe.
6.8. Payment Period and Sanctions: The winning User of an auction is obliged to complete their payment within 24 hours from the moment of winning. If payment is not made within this period:
- The right to win the auction is transferred to the next highest bidder.
- A penalty point is applied to the account; depending on the violation level, the account is temporarily suspended from participating in auctions for 3 to 7 days. On the fourth violation, the account is permanently closed.
- The right to bid in future auctions for the same product is suspended for 14 days.
- As long as the payment period continues, the User cannot place bids in other auctions, and an information window (modal) is displayed on auction detail pages; this window serves as a reminder to the User until payment is completed.

7. Statistical Transparency Indicators

To enhance platform reliability, the following critical metrics are instantly tracked and reported via system logs:

7.1. Legislation

Delivery and shipping processes are subject to the provisions of the Pre-Contract Information and Consumer Contract published on the Platform.

7.2. Duration

The user may exercise their right of withdrawal within 14 days from the date of receiving the product, except for the exceptions specified in the legislation, within the scope of distance sales.

7.3. Details

The right of withdrawal and refund processes are explained in the relevant agreements. The user cannot complete the order without approving these documents.

8. Sourcing and Operational Audit

The User accepts and undertakes the following:

To use the Platform in accordance with applicable legislation and these Terms,
Not to infringe upon the rights of third parties (intellectual property, personal rights, commercial reputation, etc.),
Not to engage in actions that may harm the Platform infrastructure, overload it, or research code/system vulnerabilities,
Not to open fake accounts or perform unauthorised transactions on behalf of third parties,
To fulfil payment obligations completely and on time.
That they will not place bids in other auctions without completing the 24-hour payment period for the auctions they have won; and that if payment is not made, their right to participate in auctions for the same product within 14 days will be suspended, and a temporary suspension sanction will be applied based on the account level.

The User is obliged to comply with the following prohibitions to ensure that auctions conducted on the platform proceed fairly, transparently, and under real market conditions. Behaviours contrary to these prohibitions may result in the temporary or permanent closure of the account, non-refund of payments, and recourse to legal remedies, without any prior notice.

a) Any behaviour intended to cheat, make fake bids, manipulate, or artificially inflate prices is prohibited.
b) Artificially raising the auction price by bidding with multiple user accounts or in a coordinated manner with other users (shill bidding) is prohibited.
c) Using automatic bidding software, bots, scripts, or similar automation tools; participating simultaneously through multiple accounts created by the same person or related persons is prohibited.
d) Unauthorised use of other users' identity, payment instrument, or contact information; making transactions with stolen cards, fake identities, or unauthorised payment methods is prohibited.
e) Sharing or transmitting any content that is insulting, harassing, threatening, discriminatory, sexually explicit, profane, vulgar, or offensive towards other users, employees, or third parties is prohibited. This prohibition covers messaging channels, support requests, profile information, username, name-surname fields, avatar/profile images, and all textual and visual areas displayed during bidding.
f) Temporarily changing profile name, username, display name, avatar, and similar identity fields in a way that targets, impersonates, misleads, humiliates, or insults another user is prohibited. Restoring profile information after a violation does not negate the violation; the profile status at the time of each bid/interaction is immutably stored in system records and used as evidence.
g) System records kept by BlackBid, bid snapshots, session, IP, device, and behaviour logs are immutably stored for violation investigations and, if necessary, for submission to judicial/administrative authorities, and the user is deemed to have given prior consent in this regard.
h) If behaviours contrary to the above prohibitions are detected, BlackBid reserves the right to unilaterally cancel the relevant auctions, temporarily or permanently close the account, cancel the active subscription, not refund the membership fee paid by the user, and, if necessary, apply to judicial and administrative authorities. In this case, the user cannot claim a refund, compensation, or similar under any name from BlackBid.

In case of violation of these obligations, the Company has the right to restrict, suspend, terminate the User's account, and resort to necessary legal remedies.

9. Dispute Management and Redress Processes

9.1. 9.1. Copyright and/or industrial property rights over all elements of the Platform, including its design, software, database, interface, logos, brands, textual and visual content, belong to Fapps Ltd or its licensors.
9.2. 9.2. By using the Platform, the User does not acquire any ownership rights over this content. Platform content cannot be copied, reproduced, modified, reverse-engineered, or used commercially.
9.3. 9.3. In case of infringement of the intellectual property rights of the Company and/or third parties, all legal and criminal claim rights of the relevant rights holders are reserved.

10. Updates

10.1. 10.1. The Company does not guarantee that the Platform will operate uninterruptedly or without errors. Temporary service interruptions may occur due to maintenance, updates, technical faults, or force majeure.

10.2. 10.2. The Company is not responsible for damages experienced by the User due to internet connection, device problems, unauthorised access, or security vulnerabilities arising from their own fault.

10.3. 10.3. Although the Company shows utmost care for the accuracy of the information and content provided through the Platform; certain technical errors or update delays may occur. Final records regarding product information, stock status, and pricing are based on the logs and database maintained in the Company's systems.

10.4. 10.4. Without prejudice to mandatory liability cases subject to applicable imperative provisions, the Company's total liability may be limited not to exceed the total amount paid by the User for the relevant transaction.

11. YOUR DATA PROTECTION RIGHTS

11.1. 11.1. Users' personal data is processed and protected in accordance with the UK GDPR and the Data Protection Act 2018, within the framework of the principles explained in the Privacy Policy and the Data Protection Notice.

11.2. 11.2. By using the Platform, the User accepts that they have read and understood these texts explaining the principles regarding the processing of their personal data.

12. AMENDMENTS

12.1. 12.1. Commercial electronic communications such as campaigns, discounts, promotions, and similar messages are sent to Users only if separate explicit consent has been obtained.
12.2. 12.2. The User can withdraw their consent to receive marketing communications at any time. Details are explained in the Marketing Communication Preferences.

13. Amendments

13.1. 13.1. The Company reserves the right to unilaterally update and amend the Terms. When an update is made, the new version comes into effect as soon as it is published on the Platform.

13.2. 13.2. The User's continued use of the Platform after the amendment date signifies their acceptance of the updated Terms.

14. Applicable Law and Competent Court

14.1. 14.1. These Terms are governed by the laws of England and Wales.

14.2. 14.2. In disputes arising from these Terms, the courts of England and Wales have jurisdiction. For Users with consumer status, rights under the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013 are reserved.

15. Effectiveness

These Terms of Use remain in effect and become binding for the User upon their access to or membership of the Platform.
